1. general
The sale of our goods and our services is exclusively based on the following General Terms and Conditions. Any deviating terms and conditions of purchase of the purchaser are hereby objected to. At the latest upon acceptance of our goods or other services, the terms and conditions of sale shall be deemed to have been accepted by the purchaser without reservation, even in the event of his prior objection. Any deviations from the Terms and Conditions of Sale shall require our express written consent for each individual contract in order to be effective.

2. prices
Unless otherwise agreed, the prices valid on the day of delivery or performance shall apply, plus the respective statutory value added tax. Prices are ex works or ex warehouse, excluding or including our standard packaging as stipulated in the offer. Unless otherwise agreed, the customer shall bear the shipping costs.

3. shipment and transfer of risk
Shipment is always at the risk of the purchaser. With the delivery of the goods to the carrier, at the latest when the goods leave our factory or warehouse, the risk is transferred to the purchaser.

4 Delivery
The delivery dates stated by us regularly indicate the expected date of dispatch, which we shall endeavor to meet. Agreed delivery dates shall only apply on condition that all details of the order have been clarified in good time and that all obligations of the customer have been fulfilled in good time. In the event of culpable non-compliance with a delivery date expressly agreed in writing, the customer shall grant us a reasonable grace period in writing. If this grace period is not met through our fault, the customer shall be entitled to withdraw from the contract. Circumstances or events beyond our control which delay or make delivery impossible or unreasonably difficult, e.g. war, acts of God, natural disasters, accidents, traffic and operational disruptions, shortages of raw materials or energy, strikes or lockouts, shall release us from our obligation to deliver for the duration of the hindrance and a reasonable start-up period, even if they occur at our suppliers. If the hindrance is not expected to end within a reasonable period of time, we shall be entitled to withdraw from the contract in whole or in part without any obligation to make a subsequent delivery. If the customer is in default of acceptance or culpably violates other obligations to cooperate, we shall be entitled to claim damages including any additional expenses. We reserve the right to assert further claims.

5. provision of materials
Material to be provided by the purchaser The material to be provided by the purchaser shall be delivered free of charge to CGX Service GmbH for further processing and must only be checked by CGX Service GmbH for obvious quantity discrepancies and recognizable transport damage. Detected quantity discrepancies and transport damages will be reported to the transport person in writing.

The material to be provided by the Purchaser must not have any defects - e.g. unmarked defect spots, material overlaps, web breaks, holes or similar - which could lead to machine downtime or damage to the machine. If machine downtime or damage to the machine occurs as a result of defects that are not foreseeable for CGX Service GmbH, the Purchaser shall be obliged to reimburse the resulting costs, namely in case of machine downtime according to the currently valid net machine hourly rates, in case of repair measures according to the necessary net repair costs. However, the Purchaser shall be free to prove that he or his sub-supplier is not at fault.

Raw materials, semi-finished and finished products provided by the supplier shall be kept in safe custody with the care required in the supplier's own affairs until the order has been completed. The Purchaser shall take out appropriate insurance itself.

Raw materials, semi-finished and finished products provided by the Supplier shall be kept in safe custody beyond the delivery date only upon prior agreement. In this case CGX Service GmbH shall only be liable for intent and gross negligence. Otherwise, they are to be taken back by the purchaser immediately after execution of the order and notification of readiness for delivery at the purchaser's expense.

6. dimensional tolerances
Dimensional tolerances are highly dependent on the material to be processed and cannot be completely avoided. Scrap: Is different for each material and can be between 10% - 20% depending on the material.

7. right of return
Individually manufactured products or specially manufactured products are excluded from the right of return

8. payment
The terms of payment according to the price list / offer of the customer apply. The timeliness of payment depends on the receipt of the amount at our unconditional disposal. If the payment deadline is exceeded or payment is not made in full on time, the customer shall be in default at the latest 30 days after the due date and receipt of the invoice, even without a reminder. Notwithstanding any other claims, we shall be entitled to charge interest at a rate of 8% from the date of default.

9. property rights
In the case of processing of raw materials, semi-finished and finished products provided by the purchaser, CGX Service GmbH shall acquire ownership of the delivery item in accordance with § 950 BGB (German Civil Code).
Deliveries are made under retention of title according to § 9499 BGB with the following extensions:
The delivered goods remain our property (reserved goods) until full payment of the purchase price and all existing or future claims arising from the business relationship with the purchaser. The purchaser is entitled to sell the goods subject to retention of title in the ordinary course of business as long as he fulfills his contractual obligations towards us. He shall not be permitted to pledge the goods or assign them as security; he shall notify us immediately of any encroachment by third parties on our property rights. If the customer does not fulfill his contractual obligations towards us, we are otherwise authorized to demand the return of the reserved goods; the customer has no right of possession in this respect.

10 Information and advice
All oral and written information is given to the best of our knowledge. The Purchaser shall not be released from the obligation to satisfy himself by his own examination of the suitability of the goods for the purpose for which he intends to use them.

11. claims for defects
Claims for defects on the part of the Purchaser shall be subject to the condition that the Purchaser has duly complied with its obligations to inspect the goods and to give notice of defects. Claims for defects by the Purchaser shall be excluded if the defect has arisen because the delivered goods have been improperly transported, stored, handled or processed. Furthermore, claims for defects shall not exist in the event of natural wear and tear. In the event of a defect in the purchased goods, the Purchaser shall be entitled, at our discretion, to demand that the defect be remedied or that a defect-free item be delivered (subsequent performance). If the supplementary performance fails, the purchaser is entitled to choose between withdrawal from the contract or reduction of the purchase price. CGX Service GmbH has the sole right to decide how such damage will be settled either by credit note resp. payment or by a replacement delivery in the same amount. Further claims by the customer are excluded. If further claims are made by the customer, they will be assigned to our products liability insurance. The latter shall make the final decision on any liability claim. The limitation period for warranty claims is 1 month from delivery of the goods. In any case, the warranty is limited to the maximum amount of the delivered or defective material value (cutting service provided limited). No material costs will be covered.

12. liability
We are liable for intent and gross negligence. Furthermore, we are liable in case of culpable violation of essential contractual obligations. In the event of a slightly negligent breach of essential contractual obligations, our liability shall be limited to the foreseeable damage typical for the contract. Liability for culpable injury to life, limb or health shall remain unaffected; this shall also apply to liability under the Product Liability Act and the German Medicines Act. Further claims for damages are excluded.

13. insurance
The purchaser has to take care for an appropriate insurance himself, if material is stored short or long term at CGX Service GmbH, the purchaser has to insure the goods, CGX Service GmbH declines any liability.

14. place of performance '
Place of performance for our deliveries is the respective place of dispatch. Place of performance for the payment obligations of the buyer is Siegen / Germany.

15. use of pictures and contents
The use of images and content from our newsletters, websites and social media channels is at the user's own responsibility.

16. data protection
Regarding the processing of personal data, CGX Service GmbH refers to the privacy policy on its website (https://www.cgxservice.de).

17. applicable law and place of jurisdiction
All legal relations between the customer and us shall be governed exclusively by the laws of Germany applicable to the legal relations of domestic parties. The courts at our place of business shall have jurisdiction for all legal disputes. However, we mway also sue the customer at the courts of his general place of jurisdiction.
